1. Acceptance of These Terms

These Terms of Service (the "Terms") govern your access to and use of Vuppo AI's website, applications, and products (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. The Services

Vuppo provides tools for creating and editing AI-generated images, videos, and other media. Features, models, limits, availability, and pricing may change. We may add, modify, suspend, or discontinue features, including third-party model integrations, with reasonable notice where practical.

AI outputs may be inaccurate, incomplete, unexpected, or similar to content generated for other users. You are responsible for reviewing outputs before using or distributing them.

3. Eligibility and Accounts

You must be at least 18 years old to register for, access, or use the Services. The Services are not intended for anyone under 18, and anyone under 18 is prohibited from using them. By using the Services, you represent that you are at least 18 years old and legally able to enter into these Terms. You are responsible for providing accurate account information, protecting your login credentials, and all activity under your account. Do not share credentials or allow unauthorized access. Notify us promptly at support@vuppo.ai if you suspect unauthorized use.

We may refuse registration, limit access, or require additional verification to protect the Services and users. If we learn that a user is under 18, we may suspend or terminate the account and delete associated information as appropriate.

4. User Content and Generated Outputs

You retain your rights in User Content that you submit to the Services. You grant Vuppo a limited, worldwide, non-exclusive license to host, copy, process, transmit, and display User Content only as needed to operate, secure, and provide the Services to you.

To the extent permitted by applicable law and subject to third-party model terms, Vuppo assigns to you any rights Vuppo may have in outputs generated for you. Because AI systems can produce similar results and laws differ by jurisdiction, we do not guarantee that outputs are unique, protectable by copyright, or free of third-party rights.

You represent and warrant that you have all rights, permissions, and legal bases necessary for your User Content and instructions, and that your use of the Services and outputs will not violate law or the rights of others.

5. Prohibited Conduct

You may not use the Services to:

• Violate any applicable law, regulation, court order, or third-party right.
• Infringe, misappropriate, or violate intellectual property, privacy, publicity, or other rights.
• Create, upload, request, or distribute unlawful, fraudulent, abusive, hateful, sexually exploitative, or otherwise harmful content.
• Generate or distribute content that facilitates violence, exploitation, harassment, impersonation, fraud, or other wrongdoing.
• Attempt to bypass safety controls, rate limits, access controls, or usage restrictions.
• Reverse engineer, decompile, scrape, probe, or disrupt the Services, or introduce malware or other harmful code.
• Use the Services to build a competing service, train a model, or systematically extract data unless we expressly authorize it in writing.
• Sell, transfer, or share an account or access credentials, or use automated access in a way that places an unreasonable load on the Services.

We may remove content, restrict generation, suspend, or terminate accounts that violate these Terms or create risk for the Services or others.

6. Credits, Subscriptions, and Payments

Some features require credits or a paid subscription. Prices, included usage, renewal terms, and limits are shown at checkout or in your account. You authorize our payment providers to charge the payment method you select for applicable purchases and recurring charges.

Subscriptions renew until canceled. Canceling stops future renewal but generally does not reverse the current billing period unless required by law or stated at checkout. Credits may be subject to expiration, usage limits, revocation for refunds or abuse, and the rules displayed when purchased or granted. Credits have no cash value and are not transferable unless we state otherwise.

Refunds are handled under any refund terms shown at checkout and our Refund Policy. Taxes, fees, and currency conversion charges may apply. Contact support@vuppo.ai promptly about a billing error.

7. Intellectual Property

The Services, software, interfaces, branding, documentation, and content provided by Vuppo (excluding User Content and outputs) are owned by Vuppo or its licensors and are protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services as permitted here. No other rights are transferred.

You may provide feedback or suggestions. You grant Vuppo the right to use that feedback without restriction or compensation.

8. Third-Party Services

The Services may rely on or link to third-party payment, authentication, storage, analytics, AI model, or other services. Third-party services may have separate terms and privacy policies. Vuppo is not responsible for third-party services, their availability, or their outputs. Your use of them through Vuppo remains subject to these Terms and any applicable third-party terms.

9. Availability and Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Vuppo disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not guarantee that the Services or outputs will meet your requirements, remain available, or be secure from every threat.

You are solely responsible for decisions made using the Services and for backing up User Content and outputs that matter to you.

10. Limitation of Liability

To the maximum extent permitted by law, Vuppo and its affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from or related to the Services or these Terms.

To the maximum extent permitted by law, Vuppo's total liability for all claims related to the Services or these Terms will not exceed the greater of the amount you paid Vuppo for the Services during the twelve months before the event giving rise to the claim or USD 100. Nothing in these Terms limits liability that cannot legally be limited.

11. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Vuppo and its affiliates, officers, employees, licensors, and service providers from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your User Content, use of the Services, violation of these Terms, or violation of another person's rights.

12. Suspension and Termination

You may stop using the Services and close your account at any time. We may suspend or terminate access, remove content, or discontinue the Services if you breach these Terms, if required by law, or when reasonably necessary to protect the Services, users, or the public. Where practical, we will provide notice and an opportunity to resolve the issue.

Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination, including ownership, disclaimers, liability limits, indemnification, and dispute provisions, will survive.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and change the "Last updated" date. If a change materially affects your rights or obligations, we will provide additional notice where required. Your continued use of the Services after the effective date means you accept the updated Terms.

14. General Terms

These Terms, together with documents expressly incorporated by reference, are the entire agreement between you and Vuppo about the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
